Partnership Public Offer Agreement

This Partnership Public Offer Agreement (“Agreement”) is made by and between:

Lapa Pet Promo Ltd, a company registered in England and Wales with company number 16114547, having its registered office at 85 Great Portland Street, First Floor, London, England, W1W 7LT, represented by its Director, Kateryna Yuhosh (“Agent”), and any Breeder who accepts the terms of this Agreement by listing pets for sale on Lapa.shop.

This Agreement is a public offer extended to all breeders who wish to use the Lapa.shop platform for the sale of pets.

1. Scope of Agreement

1.1 The Agent provides an online platform, Lapa.shop, through which Breeders can list and sell their pets.

1.2 By listing pets on Lapa.shop, the Breeder accepts this Agreement and acknowledges the Agent’s role as a non-exclusive intermediary facilitating sales.

1.3 The Agent does not take ownership of any pets but ensures compliance with applicable UK regulations.

2. Breeder’s Responsibilities

2.1 The Breeder must provide accurate and up-to-date information about the pets, including breed, age, health status, vaccinations, and pedigree documentation.

2.2 The Breeder warrants compliance with the Animal Welfare Act 2006, the Pet Animals Act 1951, and all other relevant UK laws.

2.3 No pet under eight (8) weeks old shall be listed for sale.

2.4 All pets must be microchipped and vaccinated per UK legal requirements.

2.5 Kittens or puppies may not be rehomed before reaching the age of three (3) months, having received all required vaccinations, including rabies.

2.6 Breeders are prohibited from selling pets with cropped ears and tails, as well as breeds banned under UK law according to the Dangerous Dogs Act 1991, to buyers residing in the United Kingdom.

2.7 The Breeder is responsible for arranging pet transportation in compliance with applicable regulations.

2.8 If the Breeder is engaged in the commercial breeding of dogs, they must ensure compliance with The Animal Welfare (Licensing of Activities Involving Animals) (England) Regulations 2018 and obtain the necessary license.

2.9 The Breeder must ensure that pets are not sold to individuals under the age of 16, in compliance with The Pet Animals Act 1951.

2.10 The Breeder is solely responsible for ensuring compliance with all import and export regulations, including but not limited to health certifications, microchipping, and vaccinations, required by the destination country.

2.11 Breeders of cats and dogs who are located outside the United Kingdom are not required to hold a national breeding license unless mandated by their local legislation. However, all breeders, without exception, must be registered under the auspices of an international felinological or cynological organization and provide the Agent with a certificate of such registration.

3. Agent’s Responsibilities

3.1 The Agent shall list and promote pets on Lapa.shop and facilitate communication between the Breeder and buyers.

3.2 The Agent shall process payments securely and collect deposits/payments on behalf of the Breeder.

3.3 The Agent reserves the right to refuse or remove listings that do not comply with this Agreement or UK laws.

3.4 The Agent shall not be liable for disputes between the Breeder and buyers but may assist in mediation where feasible.

4. Commission and Fees

4.1 The Agent shall receive a commission from each sale on Lapa.shop. The commission rate shall be determined individually with each seller.

4.2 Payments to the Breeder will be made within three (3) business days, minus the Agent’s commission and applicable transaction fees.

4.3 The Agent reserves the right to withhold payments in case of buyer complaints, pending resolution.

5. Compliance with UK Laws and Regulations

5.1 The Breeder acknowledges and agrees to comply with:

The Animal Welfare Act 2006;
The Pet Animals Act 1951;
The Consumer Rights Act 2015;
The Breeding and Sale of Dogs (Welfare) Act 1999, where applicable.

5.2 The Agent may suspend or terminate listings if a Breeder is found in violation of any UK regulations.

6. Term and Termination

6.1 This Agreement remains in effect as long as the Breeder continues to use Lapa.shop.

6.2 The Agent reserves the right to modify the terms of this Agreement. The updated Agreement shall become effective upon its publication on the Lapa.shop website.

6.3 The Agent may immediately terminate this Agreement if the Breeder violates UK animal welfare laws or engages in fraudulent practices.

7. Liability and Indemnity

7.1 The Breeder agrees to indemnify and hold harmless the Agent from any claims arising from the sale or condition of the pets.

7.2 The Agent shall not be liable for indirect, incidental, or consequential damages.

8. Confidentiality

8.1 Both Parties agree not to disclose confidential business information obtained through this Agreement to third parties without prior written consent.

9. Dispute Resolution

9.1 Any disputes shall first be resolved through negotiation. If unresolved, disputes shall be referred to mediation.

9.2 In the event of a dispute, both parties agree to first attempt resolution through negotiation. If unresolved, disputes shall be settled in the courts of England and Wales.
